Growth is a positive sign, but your regulatory permissions should grow with your business.

Businesses rarely stand still.  Products evolve, services expand, new markets emerge and commercial opportunities arise. As your business develops, it is important to ensure that your FCA permissions continue to accurately reflect the regulated activities you intend to carry on.

If your business model changes, your regulatory permissions may also need to change.

A Variation of Permission (VoP) enables firms to apply to extend, remove or amend their existing permissions, ensuring that the regulatory framework continues to reflect the way the business operates.

However, obtaining FCA authorisation does not automatically mean that additional permissions will be granted.

Authorisation Doesn't Guarantee Further Permissions

One of the biggest misconceptions surrounding a Variation of Permission is that it is simply an extension of an existing authorisation.

It isn't.

The FCA will expect to see that your business is capable of undertaking the additional regulated activities safely, effectively and in the interests of consumers.

Just as with a New Firm Authorisation, the regulator will consider whether your governance, systems, controls and resources are appropriate for the permissions you are requesting.

The question is not simply:

"Are you already authorised?"

It is:

"Are you ready to undertake these additional activities?"

Your Business Should Already Be Ready

Before submitting a Variation of Permission application, firms should ask themselves whether their business is already operating in a way that supports the new permissions.

This includes considering whether:

  • Governance arrangements remain appropriate.
  • Consumer Duty has been considered for the expanded activities.
  • Risks have been identified and assessed.
  • Appropriate policies and procedures are already in place.
  • Staff have the necessary knowledge and competence.
  • Management Information is capable of monitoring the new activities.
  • The Board understands the additional regulatory responsibilities.

If these areas are still being developed, it may be too early to submit the application.

A Variation of Permission should demonstrate that your business is already prepared, not that it intends to become prepared.

Give It the Same Attention as a New Firm Authorisation

Although a Variation of Permission may relate to an existing regulated business, it should be approached with the same level of planning and preparation as a New Firm Authorisation.

Businesses should avoid viewing it as a simple administrative exercise.

The FCA will expect firms to demonstrate that they have considered the impact of the proposed changes, understand the additional regulatory obligations and have appropriate governance in place to support them.

The strongest applications show that growth has been planned carefully and that governance has evolved alongside the business.

Don't Mark Your Own Homework

As with any significant regulatory application, independent challenge can be invaluable.

Businesses are often heavily invested in their own growth plans, making it difficult to identify weaknesses or gaps objectively.

An external review can assess whether your governance framework, policies, operational controls and Consumer Duty arrangements are genuinely capable of supporting the additional permissions being sought.

It provides confidence that your application reflects the reality of how your business operates rather than how it intends to operate.

Most importantly, it allows potential issues to be addressed before they become regulatory questions.

  • Growth Should Strengthen Governance
  • Expanding your permissions should never mean stretching your governance framework.
  • Growth should strengthen your organisation, not create additional risk.

The businesses that navigate Variations of Permission most successfully are those that have already embedded good governance, meaningful oversight and a customer-focused culture before they decide to expand.

When governance grows alongside your business, regulatory change becomes far more straightforward.

Making Regulation Make Sense

A Variation of Permission is not simply permission to do more. It is an opportunity to demonstrate that your business has evolved responsibly. The FCA is looking for more than ambition - it wants evidence that your governance, culture and controls are ready to support the next stage of your business. That's why a Variation of Permission deserves the same preparation, scrutiny and independent challenge as a New Firm Authorisation.

Your permissions should never outgrow your governance!
